Terms of Service

These terms govern your use of Freelanix (the "platform"), a marketplace where clients post projects and independent freelancers deliver them. Creating an account means you accept them.

What Freelanix is, and what it is not

Freelanix is a listing and coordination service. We host project descriptions, proposals, messages and files, and keep a record of what the two sides agreed.

Freelanix is not a bank, not a payment institution and not an escrow agent. We do not hold your money, do not operate a payment account for you, and provide no payment services of any kind. Card processing, the holding of funds and every transfer are carried out by a licensed payment provider under its own agreement with you.

When a client funds a milestone, the money is held by that licensed provider. Freelanix acts as a commercial agent of the payee, meaning the freelancer, and instructs the provider when to release the held amount or return it. This is payout control, not escrow: the funds never sit in a Freelanix account and Freelanix never takes custody of them. Our role is limited to the release, return and split instructions described below.

Contracts and milestones

• A contract starts when a client accepts a proposal. Both sides agree on milestones, each with a description and an amount.
• A milestone becomes active once the client funds it and the provider confirms the funds are held.
• The freelancer submits the milestone when the work is delivered. The client then approves it or opens a dispute.
• On approval, Freelanix instructs the provider to release the milestone amount to the freelancer, less the platform fee.
• If the client neither approves nor disputes within 14 days of submission, the milestone releases automatically on the same terms. Auto-release protects freelancers from silence and is not a judgment about the quality of the work.
• Work should not start before a milestone is funded. Unfunded work is at the freelancer's own risk.

Platform fee

Freelanix charges a service fee on freelancer earnings. The default fee is 20% of each released milestone, deducted at release, so the freelancer receives the net amount. The fee is configurable by the platform, and the rate that applies to your contract is shown on the contract page at the time of release. Posting projects and sending proposals are free.

Disputes

Either side may open a dispute on a funded milestone before it is released, which pauses the auto-release clock. Both sides submit evidence through the platform. We review the contract, the milestone description, the delivered files and the message history, then instruct the provider to release the amount to the freelancer, return it to the client, or split it. Our decision covers only the funds held for that milestone. It is not arbitration and does not prevent either side from pursuing legal remedies.

Keeping deals on the platform

You may not move a deal that started on Freelanix to another channel to avoid the fee, and you may not ask another user to do so. Do not exchange contact details or off-platform payment instructions before a contract is funded. Accounts that circumvent the platform lose funded milestones and dispute review, and can be suspended.

Suspension, closure and anonymization

We may suspend or close an account for fraud, abuse, repeated disputes decided against it, or breach of these terms. A closed account is anonymized rather than erased: contracts, invoices, payouts and audit entries survive without your personal data, because accounting rules and the history of past disputes require them.

Independent contractors and taxes

Freelancers on Freelanix are independent contractors. Nothing here creates employment, partnership or a joint venture between you and Freelanix, or between you and another user, beyond the limited payout instruction agency described above. You are responsible for your own taxes, social contributions, invoices and any licences you need. Freelanix does not withhold tax or file returns for you.

Liability and changes

The platform is provided as it is. We are not a party to the contract between client and freelancer and are not liable for the quality or legality of the work. We may update these terms, and material changes are announced before they take effect.
